Terms of Service

These Terms of Service ("Terms") govern your access to and use of Selenne Business Suite ("SBS"), operated by Selenne Strategies, LLC. By accessing or using SBS, you agree to these Terms and to our Privacy Policy.

Account Registration and Security

You must be at least 18 years old to use SBS. You must provide accurate, complete account information, keep it updated, and keep your login credentials secure. You are responsible for activity conducted through your account and for maintaining appropriate access controls for users you authorize to use your company workspace.

Subscriptions, Trials, and Payments

SBS may offer paid subscriptions, trials, add-on services, or other subscription options. Pricing, billing frequency, trial terms, and renewal terms are presented at checkout or in the applicable order terms. Subscriptions may renew automatically unless canceled in accordance with the payment or subscription process made available to you. Trial subscriptions may begin paid billing at the end of the trial unless canceled before it ends. Fees are non-refundable except as required by law.

Acceptable Use

You agree to use SBS only for lawful business purposes. You may not misuse, disrupt, damage, probe, bypass, reverse engineer, copy, resell, or interfere with SBS, its security controls, its infrastructure, or other users' accounts or data except where such activity is expressly permitted by law.

User and Company Data

You are responsible for the information you or your authorized users enter, upload, connect, or transmit through SBS and for having the rights or permissions necessary to use that information. SBS will handle personal information and connected third-party data in accordance with the SBS Privacy Policy.

Third-Party Services and Integrations

SBS may allow you to connect or use third-party services, including Google, Firebase, Stripe, and other providers. Third-party integrations may require you to grant permissions directly to the applicable provider. You control whether to authorize optional integrations and may revoke authorization through the applicable third-party service where supported.

Third-party services are operated independently of SBS and may be subject to their own terms, privacy policies, availability, limits, or changes. SBS is not responsible for outages, changes, suspensions, or acts of third-party services that are outside SBS's reasonable control.

Google Analytics Integration

The optional Google Analytics 4 reporting feature requires a user with appropriate authority to authorize read-only access to a selected GA4 property. SBS uses this connection only to provide the reporting functionality described in the platform and does not obtain permission to create, modify, or delete Google Analytics data through this feature.

Business, Financial, Accounting, and AI-Assisted Tools

SBS may include business, finance, accounting, productivity, analytics, forecasting, document-generation, and AI-assisted tools. These tools are designed to support business organization, analysis, and decision-making and may produce incomplete, inaccurate, or context-dependent results.

SBS does not replace professional legal, tax, accounting, investment, financial, compliance, or other licensed professional advice. You are responsible for reviewing information and outputs before relying on them for business, financial, legal, regulatory, or tax decisions.

Intellectual Property

SBS, its software, design, branding, documentation, and related materials are owned by Selenne Strategies, LLC or its licensors and are protected by applicable intellectual-property laws. These Terms do not transfer ownership of SBS or its underlying technology to you.

You may not copy, modify, distribute, or create derivative works based on SBS software or platform materials without permission, except where expressly permitted by applicable law.

Platform Availability and Changes

We may maintain, update, modify, add, suspend, or discontinue features of SBS from time to time. We may also impose reasonable technical, security, usage, or service limits. We will make reasonable efforts to operate SBS reliably but do not guarantee uninterrupted or error-free availability.

Suspension and Termination

We may suspend or terminate access when reasonably necessary for nonpayment, misuse, fraud, security risk, legal compliance, violation of these Terms, or protection of SBS, its users, or third parties.

You may stop using SBS at any time and may cancel paid services according to the applicable subscription or payment process. Data handling following termination or deletion requests is described in the Privacy Policy. You may request account closure by contacting support.

Disclaimers and Limitation of Liability

SBS is provided on an "as is" and "as available" basis to the fullest extent permitted by applicable law. We make no warranties, express or implied, regarding its reliability or suitability for your needs. We do not guarantee that SBS or any third-party integration will always be available, error-free, or suitable for every business purpose.

To the fullest extent permitted by applicable law, Selenne Strategies, LLC is not liable for indirect, incidental, special, exemplary, or consequential damages, including loss of profits or business opportunities, arising from or related to use of SBS. Nothing in these Terms excludes liability that cannot legally be excluded or limited.

Indemnification

You agree to indemnify and hold harmless Selenne Strategies, LLC and its affiliates from claims, damages, or expenses resulting from your use of the platform or violation of these Terms.

Governing Law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict of law principles.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date and notify users through the platform or email. Continued use of SBS after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
